Legal Counsellor

Qualifications & Accreditations

  • B-Comm (law), ideally LLB
  • Minimum of 3 – 5 years’ post articles and relevant in-house corporate experience, (ideally) in a medium-sized listed company
  • Knowledge of legislation and regulations relevant to Retail and Financial Services (such as the Consumer Protection Act and National Credit Act)
  • Knowledge of corporate governance and JSE listing requirements

Company secretarial

  • Manage the end-to-end process for Board and Committee meetings (agree the agenda, compile board packs, ensure minutes of meetings and resolutions are maintained)
  • Manage annual general meetings
  • Assist the Board and Committees in evaluating and reporting on corporate governance commitments and mandates, including adherence to King IV and formulation of group governance policies
  • Maintain the delegation of authority and governance framework
  • Liaise with JSE sponsors and ensure compliance with the JSE listing requirements and reporting obligations
  • Ensure CIPC obligations are met

Legal counsel

  • Review legal documents, customer and supplier contracts, etc.
  • Draft legal opinions, memoranda and other briefing documents
  • Provide support to the group on legal matters (liaise with outsourced legal specialists where necessary)
  • Fulfil the role of legal compliance officer for the Group by monitoring new legislation and being a member of internal business project teams to investigate new legislation
  • Research and keep up to date with legislation relevant to Retail, Financial Services and Insurance
  • Establish and improve processes to ensure legislative compliance
  • Oversight of regulatory reports on behalf of Group companies
  • Ensure that the Board is informed of any legislation developments that impact on the operations of the Group
